TERMS OF SERVICE

2.1 Services Provided

VuzoPay provides the following services:

• Automated payroll processing and payslip generation
• Leave management and tracking
• Employment contract generation and management
• Background screening and verification services
• Multi-location workforce management
• WhatsApp integration for employee communications

2.2 Service Availability

We strive to maintain 99.9% uptime but do not guarantee uninterrupted access to the Services. We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time, with or without notice, for maintenance, updates, or other operational reasons.

3.1 Account Registration

To use the Services, you must:

• Create an account with accurate and complete information
• Maintain and promptly update your account information
• Maintain the security and confidentiality of your login credentials
• Notify us immediately of any unauthorized access or security breach

3.2 User Obligations

You agree to:

• Comply with all applicable South African labour laws, including BCEA, LRA, and UIF regulations
• Provide accurate employee information and payroll data
• Verify all payroll calculations and outputs before processing payments
• Obtain necessary consents from employees for data processing
• Not use the Services for any unlawful, fraudulent, or malicious purposes
• Not attempt to reverse engineer, decompile, or access the source code of the Services

3.3 Account Liability

You are solely responsible for all activities that occur under your account. We are not liable for any loss or damage arising from unauthorized use of your account due to your failure to maintain adequate security measures.

4.1 Pricing and Billing

• Individual Plan: R35 per employee per month
• Business Plan: R25 per employee per month (minimum R100/month)
• Screening: From R49 per screening check

Subscription fees are billed monthly or annually in advance. Annual subscriptions receive a 15% discount. All prices are in South African Rand (ZAR) and include VAT where applicable.

4.2 Payment Methods

We accept payment via credit card, debit card, and EFT. You authorize us to charge your payment method for all fees incurred. Failed payments may result in service suspension.

4.3 Price Changes

We reserve the right to modify pricing with 30 days' written notice. Continued use of the Services after the notice period constitutes acceptance of the new pricing.

4.4 Refund Policy

Subscription fees are non-refundable. No refunds or credits will be issued for partial months or unused services. Pay As You Go screening fees are non-refundable once a check has been initiated.

5.1 VuzoPay Property

All intellectual property rights in the Services, including software, designs, trademarks, logos, and content, are owned by or licensed to VuzoPay. These Terms do not grant you any ownership rights in the Services.

5.2 User Data

You retain all ownership rights in your data. By using the Services, you grant us a limited, non-exclusive license to process, store, and transmit your data solely for the purpose of providing the Services.

5.3 Restrictions

You may not:

• Copy, modify, or create derivative works of the Services
• Reverse engineer or attempt to extract source code
• Remove or alter any proprietary notices
• Use the Services to develop competing products

9.1 Term

These Terms commence when you first access the Services and continue until terminated by either party.

9.2 Termination by You

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. No refunds will be issued for the remaining subscription period.

9.3 Termination by VuzoPay

We may suspend or terminate your account immediately if:

• You violate these Terms
• Your payment method fails or you have outstanding fees
• You engage in fraudulent, illegal, or abusive conduct
• We are required to do so by law

9.4 Effect of Termination

Upon termination, your access to the Services will cease immediately. We will retain your data for the periods specified in our Privacy Policy. You may request a data export within 30 days of termination.

10.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of South Africa, without regard to conflict of law principles.

10.2 Jurisdiction

Any disputes arising from or related to these Terms or the Services shall be subject to the exclusive jurisdiction of the courts of Johannesburg, South Africa.

10.3 Dispute Resolution

Before initiating legal proceedings, parties agree to attempt to resolve disputes through good faith negotiations for a period of 30 days.

11.1 Amendments

We may modify these Terms at any time by posting the updated Terms on our website. Material changes will be notified via email. Continued use of the Services after changes constitutes acceptance.

11.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

11.3 Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.

11.4 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without restriction.

11.5 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and VuzoPay regarding the Services and supersede all prior agreements.
